|The cornerstone of each economy is the freedom to design contracts that best suit their needs. However, this freedom in the imperfect market can cause several problems. In the case that one of the parties has a stronger bargaining power, it may pursue unilaterally its economic interests. A stronger party can assert conditions favourable to its interests, and the weaker party may not be in a position to reject such unilaterally imposed unfavourable conditions due to fear of not concluding the contract or even of being driven out of business. Imposed and unfavourable business relationships may increase uncertainty and have a negative effect on the planning of businesses.|
